Terms of Service

1. Acceptance of Terms

By accessing or using the Genseo service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use the Service. These Terms constitute a legal agreement between you and Genseo (the "Company", "we", or "us") regarding your use of our Service.

2. Description of Service

Genseo is a software-as-a-service (SaaS) platform that automatically generates content (such as blog posts) for your website and uploads it to your chosen content management system (CMS) on your behalf. The Service uses automated tools (including artificial intelligence) to create SEO-friendly written content based on your input. Genseo is designed for website owners, entrepreneurs, businesses, and agencies to streamline content creation and publishing.

3. Accounts and Eligibility

You must create an account to use Genseo. You agree to provide accurate, current, and complete information when registering. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
You must be at least 18 years old (or the age of majority in your jurisdiction) to use this Service. By using Genseo, you represent that you meet this eligibility requirement.

4. Subscription Plans and Trial

Genseo offers two subscription plans:

• Pro Plan: After a trial period, billed at USD $89 per month.
• Agency/Business Plan: After a trial period, billed at USD $399 per month.

Trial Period: Both plans begin with a 3-day trial for a fee of $3 (USD). This trial fee is non-refundable. During the 3-day trial, you can generate up to 3 blog posts using the Service. The trial allows you to evaluate Genseo's features.

Automatic Conversion: Unless you cancel before the trial ends, your trial will automatically convert to a paid subscription for the selected plan at the end of the 3-day period. Your provided payment method will be charged the recurring subscription fee (e.g., $89 or $399) immediately after the trial period.

Cancellation: You may cancel at any time during the trial to avoid further charges. If you cancel within the 3-day trial, you will lose access to premium features after the trial expires, and you will not be charged the monthly subscription fee. There are no refunds for the $3 trial fee. If you cancel an active subscription after the trial, your cancellation will take effect at the end of the current billing cycle; no prorated refunds are provided for partial months.

5. Fees and Payment

All fees are listed in United States Dollars (USD) and are exclusive of any taxes (such as VAT) that may apply. You are responsible for paying all applicable fees and taxes in a timely manner with a valid payment method.

By signing up for a paid plan, you authorize Genseo (or its third-party payment processor) to charge your provided payment method the applicable subscription fees on a recurring basis (e.g., monthly), beginning at the end of your trial. The subscription will continue to renew automatically each billing period until you cancel.

Payment Processor: We use a secure third-party payment processor (such as Stripe or a similar service) to handle payments. We do not store your full credit card information on our own servers; such information is handled by the payment processor.

If a payment is not successfully settled (due to expiration, insufficient funds, or otherwise), and you do not update your payment information or cancel your account, we may suspend your access to the Service. You agree to promptly update your billing information for any changes. Genseo may change the subscription fees for future billing periods; if we do, we will provide advance notice via email or within the Service. Price changes will not apply retroactively and will only take effect in the billing period following the notice.

Except as expressly provided in these Terms or required by law, all payments are non-refundable.

6. Content Generation and Intellectual Property

User Input and Generated Content: Genseo generates content based on information or parameters you provide (your "Input"). You retain all rights to the content generated by the Service for you ("Output"). Genseo does not claim ownership of the blog posts or other materials created for you through the Service. You are free to use, edit, publish, or distribute the generated content as you see fit.

License to Use Input: You grant us a license to use your Input and any generated Output as necessary to operate and improve the Service. This includes the right to process your Input through our algorithms and to store your content on our servers. We will not share your Input or Output with other customers or third parties except as needed to provide the Service or as stated in our Privacy Policy.

User Responsibility: You are responsible for the content that is generated and published on your website. We strongly recommend that you review all AI-generated content before publishing. You must ensure that the content meets your needs and is compliant with all applicable laws (for example, marketing laws, copyright laws, and regulations in your industry). Genseo does not guarantee that generated content will be unique or free of errors or plagiarism. You agree that you will not hold Genseo responsible for any liability that arises from the content created by the Service or any actions you take based on it.

CMS Integration: If you choose to connect Genseo to your website’s CMS or other third-party platforms to auto-publish content, you grant Genseo the necessary access and permissions to post content on your behalf. You should only integrate accounts or platforms that you own or have authority to use. Genseo is not responsible for any changes made to your website or CMS content through this integration that occur under your instructions.

7. Acceptable Use Policy

You agree to use Genseo in a lawful manner and to comply with all applicable laws and regulations. You must not misuse the Service. In particular, you agree that you will NOT:

• Use the Service to generate or distribute any content that is unlawful, defamatory, harassing, obscene, hateful, or that violates any applicable laws or rights of any third party (including intellectual property rights and privacy rights).
• Use the Service to create content that spreads malware, spam, phishing, or any fraudulent or malicious activity.
• Attempt to probe, scan, or test the vulnerability of the Service or any associated system, or breach any security or authentication measures.
• Attempt to reverse engineer, decompile, or otherwise extract the source code or underlying components of our software (except as allowed by law).
• Use any automated means (such as bots or scripts) to access or use the Service in a manner that sends more requests to the Service than a human could reasonably produce in the same timeframe, or that otherwise interferes with the normal functioning of the Service.
• Share your account with others or create multiple accounts to circumvent usage limits or restrictions.

We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy or any other provision of these Terms.

8. Third-Party Services

Genseo relies on certain third-party services and infrastructure to operate effectively. These include, for example:

• Webflow – used for hosting and managing our marketing website.
• Vercel – used for hosting and deploying the Genseo application.
• Supabase – used for our database and user authentication.
• React – a front-end framework utilized in building our web application.
• Loops.so – a platform we use to send emails (such as onboarding emails, newsletters, or notifications).
• Google Analytics – an analytics tool that helps us understand website traffic and usage (see Privacy Policy for details on data collected).
• Fathom Analytics – an analytics tool that helps us understand website traffic and usage.
• PostHog – a product analytics and session replay tool used to analyze user interactions and improve the Service.

By using Genseo, you acknowledge that these third-party services are integral to providing the Service. While we carefully select reputable providers and strive to ensure they protect your data, we do not have direct control over their operations. Any data sharing with these parties is done according to our Privacy Policy. Genseo is not liable for outages, breaches, or other issues caused by third-party providers. When applicable, your use of Genseo is subject to the terms and policies of those third-party services (for example, any data collected by Google Analytics will be handled under Google's privacy terms).

9. Privacy

Your privacy is important to us. Our collection, use, and disclosure of personal information in connection with the Service is described in our Privacy Policy (see below). By using Genseo, you consent to the collection and use of information as outlined in the Privacy Policy.

10. Disclaimer of Warranties

The Genseo Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Genseo disclaims all warranties and representations, whether express, implied, or statutory, including (but not limited to) any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your requirements or expectations.

AI-Generated Content: You acknowledge that content generated by Genseo is created by automated algorithms (including AI) and may not have been reviewed by a human. The Service does not guarantee the accuracy, completeness, or usefulness of any generated content. Any reliance on the generated content is at your own risk. Genseo makes no guarantee that using the generated content will improve your website's search engine rankings or achieve any specific outcome.

No advice or information, whether oral or written, obtained from Genseo or through the Service, shall create any warranty not expressly stated in these Terms.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will Genseo or its owners, officers, employees, or affiliates be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, revenues, data, or goodwill, arising out of or related to your use of (or inability to use) the Service or the content generated by the Service, even if we have been advised of the possibility of such damages.

In jurisdictions that do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages, our liability will be limited to the fullest extent permitted by law.

In all cases, Genseo's total cumulative liability to you for any claim arising out of or relating to these Terms or the Service is limited to the amount you have paid to Genseo in the three (3) months immediately preceding the event giving rise to the claim (or, if greater, the amount of $10 USD). If you have paid nothing (for example, if you are on a trial or free usage), Genseo’s total liability shall not exceed $10 USD.

Nothing in these Terms shall limit or exclude liability that cannot be limited or excluded under applicable law (for example, certain liabilities imposed by Austrian law, or liability for personal injury caused by negligence, or for gross negligence or willful misconduct).

12. Indemnification

You agree to indemnify, defend, and hold harmless Genseo and its affiliates, and each of their respective officers, directors, agents, and employees, from any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees and costs) arising out of or in any way connected with:

• your violation of these Terms or misuse of the Service,
• your violation of any law or regulation or the rights of any third party in connection with your use of Genseo, or
• any content you generate or publish using Genseo (including claims that the content infringes or misappropriates any third-party rights or causes harm to a third party).

We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with us in asserting any available defenses.

13. Termination

You may stop using the Service and cancel your subscription at any time. If you wish to delete your account, you can contact our support for assistance or use any account deletion function we provide.

We reserve the right to suspend or terminate your access to Genseo (including your subscription and account) at any time, with or without notice, if you breach these Terms, if non-payment occurs, or if we otherwise determine that it is not commercially viable to continue providing the Service to you. In the event of termination due to your breach of these Terms or misconduct, you will not be entitled to any refund of fees paid.

Upon any termination of your account, whether by you or us, your right to use the Service will cease. Sections of these Terms which by their nature should survive termination (such as ownership of content, disclaimers, limitations of liability, and indemnification) will continue to apply.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Austria, without regard to its conflict of law principles.

If you are a consumer residing in the European Union, you may also have certain rights or protections under the mandatory laws of your country of residence; nothing in these Terms affects your rights under such laws.

All disputes arising out of or in connection with these Terms or the use of the Service shall be subject to the non-exclusive jurisdiction of the competent courts in Austria. This means that while any legal proceedings related to these Terms shall normally be brought in Austria, you may also have the right to bring proceedings in your country of residence if you are entitled to do so under mandatory consumer protection laws.

15. Changes to the Terms

We may update or modify these Terms from time to time. If we make material changes, we will notify users by email or by posting a notice within the Service prior to the change becoming effective. The "Last updated" date at the top of this document indicates when the latest changes were made. By continuing to use Genseo after any changes to the Terms become effective, you agree to be bound by the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and, if applicable, cancel your subscription.
